Confidential Information  

All information disclosed by one Party (the “Discloser”) to the other (the “Recipient”) that (i) is marked “confidential” or “proprietary” before its disclosure to the Recipient; or (ii) the Discloser orally discloses to the Recipient, identifies as confidential or proprietary at the time of disclosure and confirms to be such in writing within 10 days of such disclosure is “Confidential Information” under these Terms.  Confidential Information does not include information which: (i) is now, or later becomes, through no act or failure to act on the part of the Recipient, generally known or readily available to the public; (ii) was acquired by the Recipient before receiving such information from the Discloser and without restriction as to use or disclosure; (iii) is furnished to the Recipient by a third party rightfully entitled to it, without restriction as to use or disclosure; or (iv) was independently developed by the Recipient without reference to the Discloser’s Confidential Information.  These Terms are the Confidential Information of Cuidado Atentto.

Use and Restrictions of Confidential Information

The Recipient agrees: (i) to hold the Discloser’s Confidential Information in strict confidence, (ii) not to disclose the Discloser’s Confidential Information to any third parties except as reasonably necessary for the Recipient to perform its obligations hereunder, and (iii) not to use any of the Discloser’s Confidential Information except to perform the Recipient’s obligations under these Terms.  Notwithstanding the foregoing, the Recipient hereto may disclose any Confidential Information of the Discloser hereunder to the Recipient’s agents, attorneys and other representatives (under a duty not to disclose) and having a bona fide need to know such Confidential Information or any court of competent jurisdiction as reasonably required to resolve any dispute between the Parties. In addition, Cuidado Atentto may disclose Client’s Confidential Information to any Talent engaged under these Client Terms so long as (i) such disclosure is reasonably required for the Talent to perform Home caring Services, and (ii) the Talent has entered into an agreement related to such Confidential Information with terms at least as restrictive as those in the Client Terms.

Disclosure

Cuidado Atentto may disclose any user information if its determined that such disclosure is necessary related to any investigation or complain related to the webpage use or to identify, contact or bring legal action against who may be causing harm or is interfering with (intentionally or unintentionally) Cuidado Atentto’s copyrights or property, or the visitor’s rights or property or webpage users.  Cuidado Atentto reserves the right on every opportunity to disclose any information it may deem necessary to comply with any law or regulation, legal process or government requirement.

Legal Obligations

Severability

If any provision of these Terms is or becomes invalid, illegal or unenforceable in any respect under any law, the validity, legality and enforceability of the remaining provisions hereof shall not in any way be affected or impaired.

Headings  

The headings and other captions in these Terms are included solely for convenience of reference and will not control the meaning and interpretation of any provision of these Client Terms.

Indemnification 

Client shall indemnify and hold Cuidado Atentto, its licensors and their respective officers, directors, employees, contractors, attorneys and agents harmless from and against any and all claims, costs, damages, losses, liabilities and expenses, including reasonable legal fees and costs, arising out of or in connection with: (a) any claim based on any alleged misuse of the website by Client.

Governing Law  

These Terms will in all respects be governed by the laws of the Commonwealth of Puerto Rico.

Signature

These Terms may be signed and is enforceable by electronic and digital.

Amendments

The terms and conditions of use may be restricted, cancelled or amended from time to time and without any previous warning.
